Terms and Conditions

Effective Date: October 29, 2025

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Commodia's services, website, and all related transactions (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms, as well as our Privacy Policy and Return & Refund Policy. If you do not agree to all of these Terms, do not use our Services. Commodia is a brand powered by Atoll Expedition PVT LTD ("Commodia", "we", "us", "our").

2. Eligibility

Our Services are intended solely for business-to-business (B2B) transactions. By using our Services, you represent and warrant that you are at least 18 years of age and are entering into these Terms on behalf of a legitimate business entity.

3. Formation of Contract

  • Quotations: All quotations provided by Commodia are valid for the period stated therein or, if no period is stated, for a period of seven (7) business days from the date of issuance, unless withdrawn earlier by us. Quotations are not offers and may be subject to change without notice until a formal Purchase Order is accepted.
  • Purchase Orders: All Purchase Orders ("PO") submitted by the Buyer are subject to acceptance by Commodia in writing. No contract shall be deemed to exist until Commodia issues a written Order Confirmation.
  • Conflict: In the event of any conflict between these Terms and any terms contained in a Buyer's PO, these Terms shall prevail unless explicitly agreed otherwise in writing by an authorized representative of Commodia.

4. Pricing and Payment

  • Pricing: Prices for goods and services are as stated in the Order Confirmation. Unless otherwise specified, all prices are exclusive of Goods and Services Tax (GST), import duties, customs fees, freight charges, and other applicable taxes or charges, which shall be borne by the Buyer.
  • Payment Terms: Payment terms will be as specified in the Order Confirmation. Standard payment terms typically require an upfront deposit (e.g., 30-50%) upon order confirmation, with the balance due prior to shipment from the origin port or upon arrival at Maldivian ports, as specified.
  • Late Payment: Commodia reserves the right to charge interest on overdue payments at a rate of 1.5% per month or the maximum rate permitted by Maldivian law, whichever is lower, calculated from the due date until full payment is received. The Buyer shall also be liable for all costs incurred by Commodia in recovering overdue payments.

5. Delivery and Risk

  • Delivery Dates: Any delivery dates provided are estimates only. While Commodia will make reasonable efforts to meet these dates, we shall not be liable for any delays in delivery. Time for delivery shall not be of the essence unless expressly agreed in writing.
  • Delivery Terms (Incoterms): The specific delivery terms (e.g., FOB, CIF, DDP) will be specified in the Order Confirmation and shall be governed by the latest version of Incoterms published by the International Chamber of Commerce.
  • Risk: Unless otherwise specified, risk of loss or damage to the goods passes to the Buyer upon delivery in accordance with the agreed Incoterms. It is the Buyer's responsibility to arrange for adequate insurance from that point.
  • Acceptance & Inspection: The Buyer must inspect all goods immediately upon receipt. Any claims for shortages, damage, or non-conforming goods must be made in accordance with our Return and Refund Policy.

6. Title

Title to the goods shall not pass to the Buyer until Commodia has received full payment for the goods and all other amounts owing by the Buyer to Commodia. Until title passes, the Buyer shall hold the goods as fiduciary agent and bailee for Commodia.

7. Warranties and Limitation of Liability

  • Manufacturer Warranties: Commodia acts primarily as a distributor. We will pass on to the Buyer any transferable warranties provided by the original manufacturer of the goods. Commodia does not provide any additional warranties beyond those expressly stated.
  • Disclaimer of Warranties: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, COMMODIA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY MALDIVIAN LAW, COMMODIA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTORY DUTY, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID BY THE BUYER TO COMMODIA FOR THE SPECIFIC GOODS OR SERVICES GIVING RISE TO THE CLAIM.
  • Exclusion of Consequential Damages: IN NO EVENT SHALL COMMODIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Intellectual Property

All content on Commodia's website, including text, graphics, logos, images, and software, is the property of Commodia or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our express written permission.

9. Force Majeure

Commodia shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, strikes or shortages of transportation, facilities, fuel, energy, labor or materials, or compliance with any law or governmental order.

10. Confidentiality

All non-public information exchanged between Commodia and the Buyer during the course of their business relationship that is designated as confidential or would reasonably be understood to be confidential shall be kept confidential and not disclosed to third parties without prior written consent, except as required by law.

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Maldives, without regard to its conflict of law principles.
  • Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved amicably through good faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in Malé, Republic of Maldives, in accordance with the arbitration rules then in force in the Maldives. The language of the arbitration shall be English.

12. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and Commodia concerning your use of our Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Commodia's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
  • Amendments: Commodia reserves the right to amend these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Return and Refund Policy

Effective Date: October 28, 2025

1. Purpose and Scope

This Return and Refund Policy outlines the terms and conditions under which Commodia (powered by Atoll Expedition PVT LTD, "Commodia", "we", "us", "our") accepts returns and processes refunds or credits for goods supplied through our wholesale and import operations. This policy applies to all business-to-business (B2B) transactions with our clients and partners ("Buyer", "you").

2. Inspection of Goods Upon Receipt

It is the Buyer's responsibility to inspect all goods thoroughly upon delivery or collection. Any discrepancies, including but not limited to shortages, damages apparent upon visual inspection, or incorrect goods received, must be noted on the delivery receipt/document at the time of acceptance, if possible, and reported to Commodia within 48 hours of receipt.

3. Claims for Defects, Damages, or Shortages

  • Reporting Period: Claims related to manufacturing defects, concealed damages not apparent upon initial visual inspection, or shortages not noted at delivery must be reported in writing (email preferred) to Commodia within five (5) business days of receipt of the goods.
  • Required Information: All claims must include:
    • Invoice number and date.
    • Detailed description of the issue (defect, damage, shortage).
    • Product code(s) and quantities affected.
    • Photographic evidence supporting the claim (for damages or defects).
  • Failure to Report: Claims not reported within the specified timeframe may be denied at Commodia's discretion.

4. Conditions for Return

Commodia may accept returns under the following conditions:

  • The goods are confirmed by Commodia to have a manufacturing defect.
  • The goods were damaged during transit where shipping was arranged and managed directly by Commodia, and the damage is properly documented and reported as per Section 3.
  • The goods shipped were incorrect due to an error by Commodia.

Returns will generally not be accepted for:

  • Goods ordered in error by the Buyer.
  • Overstocked goods.
  • Goods damaged after delivery due to improper storage, handling, or use by the Buyer.
  • Custom-ordered, bespoke, or specially sourced non-stock items, unless defective.
  • Perishable goods (e.g., certain food products), unless spoiled upon arrival and reported immediately.
  • Items sold on a "clearance" or "as-is" basis.

5. Return Authorization Process

  • No returns will be accepted without prior written authorization from Commodia.
  • To initiate a return, contact your Commodia account representative or email us at we@commodia.global with the required claim information (see Section 3).
  • If the return is approved, Commodia will issue a Return Merchandise Authorization (RMA) number and provide instructions for the return process.
  • Goods must be returned in their original packaging, where possible, or suitably packaged to prevent further damage. The RMA number must be clearly marked on the return shipment.

6. Refunds, Credits, or Replacements

Upon receipt and inspection of the authorized returned goods, Commodia will, at its discretion (or as otherwise agreed in specific B2B contracts):

  • Issue a credit note to the Buyer's account for the value of the returned goods.
  • Arrange for replacement goods to be shipped to the Buyer.
  • Issue a refund for the value of the returned goods.

Processing of credits, replacements, or refunds will typically occur within 14 business days after the returned goods have been received and verified by Commodia.

7. Shipping Costs for Returns

  • If the return is due to an error by Commodia (defect, damage arranged by us, incorrect shipment), Commodia will typically arrange and cover the cost of return shipping.
  • If the return is authorized for reasons other than Commodia's error (which is rare under this B2B policy), the Buyer will be responsible for all return shipping costs.

8. Policy Modifications

Commodia reserves the right to modify this Return and Refund Policy at any time. Any changes will be effective immediately upon posting the revised policy on our website or otherwise notifying our clients.

9. Governing Law

This policy shall be governed by and construed in accordance with the laws of the Republic of Maldives.
